1. Scope of Application
These Terms and Conditions apply to all websites, offers, contracts, products, and services of Clever-Click GmbH, particularly for photographic services, virtual 360-degree tours, interactive tours, hosting, licensing, and service provisions.
Deviating or supplementary agreements require written form. If additional contracts exist, their provisions take precedence over these Terms and Conditions.
By registering, accessing, or using the website or commissioning services, these Terms and Conditions are deemed accepted.
2. Intellectual Property and Usage Rights
All content on this website is subject to copyright. Without prior written consent from Clever-Click GmbH, content may not be copied, modified, distributed, embedded, sold, or used commercially, except within the scope of mandatory law.
2.1 Ownership of Photos
Upon full payment of the agreed fee, all ownership rights to the created photos are transferred to the client.
2.2 Authorization to Upload to Google
The client grants Clever-Click GmbH authorization to upload the photos on behalf of the client to their Google account and licenses them for use by Google in accordance with the applicable Google Terms of Service.
2.3 Portfolio Use
The client grants Clever-Click GmbH a non-exclusive license to use a reasonable number of the created images as reference, portfolio, or for marketing purposes.
3. Copyright and Personal Rights
The client ensures that all copyright, property, and personal rights to depicted rooms, buildings, facades, furnishings, and persons are available or have been obtained.
If rights are subsequently asserted that prevent publication, Clever-Click GmbH is entitled to remove the entire tour or affected content.
4. Client’s Obligations to Cooperate
The client makes the premises to be photographed available at the agreed date and time and bears responsibility for their condition, order, and appearance.
It is agreed that all visible areas from approximately 1.60 m height in all directions will be captured. Subsequent retouching or content modifications to the recordings are excluded.
5. Responsible Use of the Website
The website may only be used within the framework of applicable laws. Prohibited activities include the distribution of malware, automated data collection, direct marketing using website data, and any impairment of availability or security.
6. Idea Submissions
Without prior written agreement, submitted content is deemed provided license-free. Clever-Click GmbH receives a worldwide, irrevocable, non-exclusive, and royalty-free license for use in all media.
7. Ongoing Costs and Price Adjustments
Recurring costs such as hosting, license, and service fees may be adjusted continuously to reflect inflation and price changes from third-party suppliers.
Such adjustments occur particularly in the event of rising infrastructure costs, server fees, software licenses, or external platform costs. The current price lists of Clever-Click GmbH are authoritative.
8. Termination of Services
Clever-Click GmbH may adjust, pause, or discontinue services or website access at any time. No claims for compensation arise from this.
9. Warranty
All content and services are provided as seen and as available.
There is no warranty that content is error-free, services remain available without interruption, or photos are permanently displayed on platforms such as Google.
Legal, financial, or medical advice is not provided.
10. Limitation of Liability
Except for personal injury, intent, or gross negligence, the following applies:
- No liability for indirect damages or lost profits.
- Total liability limited to the amount of the fee paid.
- The use of 360-degree and VR functions depends on third-party providers. If such a service is discontinued, no claims for damages arise. The client bears the risk, as all image rights have been transferred.
11. Data Protection
Personal data is processed in accordance with the Privacy Policy. The client undertakes to provide correct and current information.
12. Export and Legal Compliance
Use from countries where content or services are prohibited is forbidden. Swiss export regulations apply.
13. Assignment
Rights and obligations under these Terms and Conditions may not be transferred without written consent.
14. Violations
In the event of violations, Clever-Click GmbH is entitled to block access and initiate legal proceedings.
15. Indemnification
The client indemnifies Clever-Click GmbH from all claims arising from violations of these Terms and Conditions or legal provisions.
16. Language
The binding contract language is German.
17. Entire Agreement
These Terms and Conditions constitute the complete agreement between the parties and replace all prior arrangements.
18. Amendments to the Terms and Conditions
These Terms and Conditions may be amended. The version published on the website is authoritative.
19. Applicable Law and Jurisdiction
Swiss law applies exclusively, excluding international private law. The place of jurisdiction is Switzerland.
